JETS INTEL TERMS OF USE

1. INTRODUCTION & ACCEPTANCE

These Terms of Use ("Terms") govern your access to and use of the Jets Intel website (jetsintel.com) and its services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Services.

2. DEFINITIONS

a. "Jets Intel" means the owner and operator of jetsintel.com.

b. "User" or "you" means any individual who accesses or uses the Services.

c. "Content" means all information, data, text, images, and other materials available through the Services.

d. "Subscription" means paid access to premium features and data according to the selected subscription tier.

e. "Authorized Users" means individuals who have been granted access to subscription features by a paying subscriber.

f. "Subscription Period" means the recurring billing cycle (monthly or annual) selected by the subscriber.

3. SERVICES DESCRIPTION

Jets Intel provides a platform displaying information about private jets listed for sale, including asking prices, estimated sold prices, technical characteristics, and images. Users may generate reports from this data and subscribe to email alerts. The Services are provided on a subscription basis with different tiers offering varying levels of access and features.

4. SUBSCRIPTION TIERS & PAYMENT

4.1 Subscription Plans

Jets Intel offers the following subscription tiers:

a. Free Tier: Free access for 7 lookups and 2 reports generation

b. Observer Tier: 25 lookups and 10 reports

c. Pro Tier: 60 lookups and 25 reports

d. Unlimited Tier: Unlimited lookups and reports

Specific features, limits, and pricing for each tier are displayed on the Jets Intel subscription modal and Stripe User portal and may be updated from time to time.

4.2 Payment Processing

a. All subscription payments are processed securely through Stripe, a third-party payment processor. By subscribing to a paid tier, you agree to Stripe's terms of service and privacy policy.

b. Jets Intel does not store or have access to your full credit card information. All payment data is handled exclusively by Stripe.

c. You authorize Jets Intel to charge your selected payment method on a recurring basis according to your chosen billing cycle (monthly or annual).

d. You are responsible for maintaining accurate and up-to-date payment information in your Stripe account.

4.3 Billing & Renewal

a. Subscriptions automatically renew at the end of each Subscription Period unless cancelled before the renewal date.

b. You will be charged the then-current subscription fee for your selected tier at the beginning of each renewal period.

c. Jets Intel reserves the right to modify subscription pricing with at least 60 days' notice to existing subscribers.

d. Price changes will take effect at the start of your next billing cycle after the notice period.

4.4 Cancellation & Refunds

a. You may cancel your subscription at any time through the Stripe Customer Portal, accessible via your Profile Settings in the Jets Intel application.

b. Cancellations take effect at the end of your current billing cycle. You will retain access to paid features until that date.

c. No refunds will be provided for partial Subscription Periods. If you cancel mid-cycle, you will not receive a prorated refund.

d. Subscription fees are non-refundable except as required by applicable law or as explicitly stated in these Terms.

e. In the event of service unavailability exceeding 48 consecutive hours due to Jets Intel's fault, you may request a prorated refund for the affected period.

4.5 Upgrades & Downgrades

a. You may upgrade or downgrade your subscription tier at any time through the Stripe Customer Portal in your Profile Settings.

b. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of your current billing cycle.

c. Downgrades take effect at the start of your next billing cycle. You will retain access to your current tier's features until that date.

d. Any unused credits or features from a higher tier do not carry over when downgrading.

4.6 Usage Limits

a. Each subscription tier includes specific monthly limits on model lookups and report generation.

b. Usage limits reset on the first day of each billing cycle based on your subscription start date.

c. New users may receive one-time bonus credits upon registration, which are used only after monthly limits are exhausted.

d. Bonus credits do not expire but do not renew monthly.

e. Jets Intel reserves the right to investigate and take action against users who attempt to circumvent usage limits.

5. RESTRICTIONS ON USE

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

a. Use the Services for any commercial purpose without prior written permission from Jets Intel;

b. Copy, reproduce, distribute, modify, or create derivative works based on the Content;

c. Scrape, data-mine, or extract substantial portions of the Content;

d. Attempt to gain unauthorized access to any portion of the Services or bypass security measures;

e. Share your account credentials with others or allow others to access your account;

f. Use the Services to create a competing product or service;

g. Export data in mass form or import data into any other system without explicit permission;

h. Attempt to circumvent any restrictions on data export, usage limits, or subscription features;

i. Use automated systems or software to extract data from the Services (including bots, scrapers, or crawlers);

j. Use the Services in any manner that infringes upon the intellectual property rights of Jets Intel or any third party;

k. Engage in any activity that could disable, overburden, or impair the proper functioning of the Services;

l. Use multiple accounts to circumvent usage limits or obtain additional free trial periods.

6. ACCOUNT SECURITY & AUTHORIZED USERS

a. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

b. You must notify Jets Intel immediately of any unauthorized use of your account or any other breach of security.

c. If a subscription specifies a number of Authorized Users, access is limited to that number of individuals. User credentials cannot be shared or used by more than one individual.

d. Jets Intel reserves the right to suspend or terminate accounts that violate security policies or share credentials.

7. OWNERSHIP & INTELLECTUAL PROPERTY

a. All Content, including but not limited to text, graphics, logos, data compilations, software, and databases, is the exclusive property of Jets Intel or its licensors and is protected by copyright, trademark, and other intellectual property laws.

b. Jets Intel grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal or internal business purposes in accordance with your subscription tier.

c. You may not reverse engineer, decompile, or disassemble any portion of the Services.

d. Any feedback, suggestions, or ideas you provide to Jets Intel become the property of Jets Intel and may be used without compensation or attribution.

8. ACCURACY OF INFORMATION & DATA DISCLAIMER

a. Best Efforts Only: Jets Intel makes reasonable efforts to provide accurate and reliable information. However, all information is gathered by Jets Intel researchers from various public and private sources, and Jets Intel does not guarantee the accuracy, completeness, timeliness, or reliability of any Content.

b. Pricing Information: Asking prices, estimated sold prices, and other pricing data displayed on the Services represent our best effort to gather this information at a specific point in time. This information may become outdated, may not reflect actual transaction prices, and should not be relied upon as current or accurate without independent verification.

c. Time-Sensitive Data: Aircraft availability, specifications, and pricing can change rapidly. Information displayed on Jets Intel may not reflect the current status of any particular aircraft.

d. No Verification Obligation: Jets Intel is not obligated to verify or update any information provided by third parties or obtained from external sources.

e. Independent Verification Required: Users must independently verify all information directly with aircraft sellers, brokers, or other authoritative sources before making any decisions or taking any action based on information obtained through the Services.

f. Not a Broker: Jets Intel is not a broker, dealer, or seller of aircraft. We do not facilitate, negotiate, or participate in any aircraft transactions. All transactions must be conducted directly between buyers and sellers.

g. No Expert Advice: Nothing in the Services constitutes professional advice, including but not limited to financial, legal, tax, or aviation expertise. Users should consult qualified professionals before making any decisions.

h. User Responsibility: Users acknowledge and accept full responsibility for verifying all information and bear all risks associated with relying on Content provided through the Services.

9. DISCLAIMER OF WARRANTIES

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR TIMELINESS.

Jets Intel specifically disclaims any warranty that:

a. The Services will be uninterrupted, timely, secure, or error-free;

b. Any defects or errors will be corrected;

c. The Services are free of viruses or other harmful components;

d. The results obtained from using the Services will be accurate, reliable, or meet your requirements;

e. Any information obtained through the Services will be current, accurate, or complete;

f. Payment processing through third-party providers will be uninterrupted or error-free.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JETS INTEL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO:

a. INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;

b. LOSS OF PROFITS, REVENUE, BUSINESS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES;

c. DAMAGES RESULTING FROM YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICES;

d. DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY, INCLUDING OTHER USERS;

e. DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;

f. DAMAGES RESULTING FROM ERRORS, OMISSIONS, INTERRUPTIONS, DEFECTS, DELAYS IN OPERATION, OR TRANSMISSION FAILURES;

g. DAMAGES ARISING FROM RELIANCE ON ANY INFORMATION, DATA, OR PRICING PROVIDED THROUGH THE SERVICES;

h. DAMAGES ARISING FROM ANY INVESTMENT, TRANSACTION, OR BUSINESS DECISION MADE BASED ON CONTENT FROM THE SERVICES;

i. DAMAGES ARISING FROM PAYMENT PROCESSING ERRORS OR ISSUES WITH THIRD-PARTY PAYMENT PROVIDERS;

j. DAMAGES ARISING FROM CANCELLED, SUSPENDED, OR TERMINATED ACCOUNTS OR SUBSCRIPTIONS.

THE ABOVE LIMITATIONS APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF JETS INTEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MAXIMUM LIABILITY: Jets Intel's total aggregate liability for any and all claims arising under or relating to these Terms, whether in contract, tort, or otherwise, shall not exceed the total amount paid by you to Jets Intel for the Services during the twelve (12) months immediately preceding the event giving rise to the claim, or $100 USD, whichever is less.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above exclusions and limitations shall apply to the maximum extent permitted by applicable law.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Jets Intel, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

a. Your use or misuse of the Services;

b. Your violation of these Terms;

c. Your violation of any rights of another party, including intellectual property rights;

d. Any content you submit, post, or transmit through the Services;

e. Any transaction or business decision made in reliance on information obtained through the Services;

f. Any damage caused by your unauthorized sharing of account credentials.

12. COMMUNICATIONS CONSENT

By using the Services, you consent to receive communications from Jets Intel, including but not limited to:

a. Transactional emails regarding your account, subscription, and usage;

b. Service updates, maintenance notifications, and security alerts;

c. Billing statements, payment confirmations, and subscription renewal notices;

d. Alert notifications based on your preferences;

e. Product updates and promotional materials (opt-out available).

You may opt-out of promotional communications at any time by adjusting your settings in the web application or by contacting us at info@jetsintel.com. You cannot opt-out of transactional or service-related communications.

13. THIRD-PARTY SERVICES

a. The Services utilize third-party service providers, including Stripe for payment processing and email service providers for communications.

b. Your use of third-party services is subject to those providers' terms of service and privacy policies.

c. Jets Intel is not responsible for the actions, omissions, or policies of third-party service providers.

d. Jets Intel does not endorse and is not responsible for the content, accuracy, or availability of any third-party websites or resources linked from the Services.

14. MONITORING AND ENFORCEMENT

a. Jets Intel reserves the right to monitor use of the Services to ensure compliance with these Terms, detect fraud, and maintain service quality.

b. Jets Intel may, in its sole discretion and without prior notice, suspend or terminate your access to the Services for any actual or suspected violation of these Terms.

c. Violations that may result in immediate termination include, but are not limited to: data scraping, account sharing, circumventing usage limits, or fraudulent payment activity.

d. You agree to cooperate with Jets Intel's reasonable investigations of service outages, security problems, or any suspected breach of these Terms.

e. Jets Intel reserves the right to pursue legal action and seek damages for violations of these Terms.

15. TERM AND TERMINATION

a. These Terms shall remain in effect until terminated by either you or Jets Intel.

b. You may terminate these Terms by canceling your account and ceasing all use of the Services.

c. Jets Intel may terminate or suspend your access immediately, without prior notice, for any reason, including breach of these Terms.

d. Upon termination, all rights granted to you under these Terms will immediately cease.

e. Subscription fees are non-refundable upon termination, except as required by law.

f. Provisions that by their nature should survive termination shall survive, including but not limited to ownership, warranty disclaimers, indemnity, and limitations of liability.

16. FORCE MAJEURE

Jets Intel shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17. DISPUTE RESOLUTION

a. Any dispute arising from or relating to these Terms or the Services shall first be attempted to be resolved through good faith negotiations.

b. If informal resolution is unsuccessful within 30 days, the dispute may be submitted to binding arbitration or litigation as permitted by applicable law.

c. You waive any right to participate in class action lawsuits or class-wide arbitration against Jets Intel.

18. GOVERNING LAW & JURISDICTION

a. These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

b. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in England, and you consent to personal jurisdiction in such courts.

c. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

19. MODIFICATIONS TO TERMS

a. Jets Intel reserves the right to modify these Terms at any time by posting the revised Terms on the website.

b. Material changes will be notified via email or prominent notice on the website at least 30 days before taking effect.

c. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes.

d. If you do not agree to modified Terms, you must cancel your subscription and discontinue use of the Services.

20. SEVERABILITY & WAIVER

a. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

b. Jets Intel's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

c. No waiver by Jets Intel of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

21. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any other legal notices published by Jets Intel on the Services, constitute the entire agreement between you and Jets Intel regarding the Services and supersede all prior agreements, communications, and understandings, whether written or oral, relating to the subject matter hereof.
